Color Pickerly Legal
Terms of Service
These Terms explain the rules for using the Color Pickerly website, accounts, subscriptions, team workspaces, color tools, and browser extension.
By accessing or using Color Pickerly, creating an account, purchasing a plan, joining a team workspace, or installing the browser extension, you agree to these Terms of Service and the Privacy Policy.
If you do not agree to these Terms, do not use the services. If you use Color Pickerly on behalf of a business or organization, you confirm that you have authority to accept these Terms for that organization.
Agreement To The Terms
These Terms of Service form an agreement between the person or organization using Color Pickerly and the operator of Color Pickerly.
These Terms apply to the Color Pickerly website, browser extension, accounts, saved colors, palettes, exports, subscriptions, team workspaces, support services, and related features.
Additional terms displayed during checkout, extension installation, account creation, or use of a particular feature also apply to that feature. If a product-specific term conflicts with these general Terms, the product-specific term controls only for that product or feature.
Service Description
Color Pickerly provides tools intended to help users select colors from webpages, view colors in common formats, copy color values, create palettes, compare related shades, save color content, and organize color references.
Available functions may include HEX, RGB, RGBA, HSL, and HSLA values, saved colors, palette creation, color history, shade comparison, exports, account features, and team workspaces.
Features depend on the selected plan, browser, extension version, device, account status, and current product release.
Color Pickerly is a workflow utility. It does not guarantee that a selected color will appear identical on every device, monitor, browser, printer, or physical material.
Eligibility
You must be legally capable of entering into an agreement to use paid Color Pickerly services.
If you have not reached the age required to enter into a contract where you live, a parent, guardian, or other legally authorized person must approve your use.
Color Pickerly is not directed to children under 13.
You may not use the service if applicable law prohibits you from receiving or using it.
Accounts And Security
Some Color Pickerly features may require an account. You agree to provide accurate account information and keep it reasonably current.
You are responsible for protecting your login credentials and for activity performed through your account, except where applicable law provides otherwise.
You must not share authentication codes, attempt to obtain another person’s credentials, or permit unauthorized access to an account.
Contact Color Pickerly promptly if you believe an account has been accessed without authorization.
Color Pickerly may require identity or account verification before processing sensitive account, privacy, billing, or workspace requests.
Browser Extension
The Color Pickerly browser extension is intended to provide color-related functions near the webpage being viewed.
The extension may require permission to access the active webpage when a user invokes a color-picking feature. Requested permissions must remain connected to the extension’s disclosed purpose.
Users should review the official extension information before installation for the current browser requirements, permissions, privacy disclosures, and feature availability.
The proposed initial browser support includes Google Chrome, Microsoft Edge, Brave, and Opera. The official extension listing remains the final compatibility reference.
Browser providers may review, suspend, remove, restrict, or change access to an extension according to their own policies. Color Pickerly does not control browser-store decisions.

User Content
User Content includes colors, palettes, labels, notes, project groups, exports, support messages, and other content submitted, saved, or shared through Color Pickerly.
You retain ownership of your User Content.
You grant Color Pickerly a limited permission to host, store, process, reproduce, transmit, and display User Content only as reasonably needed to provide, secure, maintain, and support the service.
You confirm that you have the rights needed to submit and use your User Content.
Do not place confidential personal information, passwords, authentication data, or complete payment details in palette names, color labels, notes, or support messages.
Shared workspace content may be available to authorized members of that workspace.
Intellectual Property
Color Pickerly and its licensors retain all rights in the service, software, extension, website design, branding, graphics, documentation, and related materials, excluding User Content.
The Color Pickerly name, logo, visual identity, and product presentation may not be used in a way that suggests endorsement, partnership, or ownership without permission.

Prices are displayed in United States dollars unless checkout states otherwise.
Applicable taxes are calculated during checkout.
Color Pickerly may change plan features or prices for future billing periods. Existing subscribers should receive any notice required by applicable law before a material price change takes effect.
Subscriptions And Automatic Renewal
Pro and Team are recurring subscriptions available with monthly or yearly billing.
Before purchase, checkout must display the plan, price, billing interval, renewal terms, applicable taxes, and cancellation information.
By completing a paid subscription purchase, you authorize the payment provider to charge the displayed amount and renew the subscription at the selected interval until cancellation.
Monthly subscriptions renew each month. Yearly subscriptions renew each year.
No separate free trial is included in this pricing model. Users may begin with the Free plan.
Renewal charges use the price communicated before renewal, subject to any notice and consent required by applicable law.
Payments And Taxes
Payments are processed through the configured payment provider.
You agree to provide accurate billing information and maintain a valid payment method for a paid subscription.
Color Pickerly may receive payment status, transaction reference, plan, billing interval, amount, currency, renewal date, billing contact, and limited payment-method information from the payment provider.
Color Pickerly should not collect or store complete payment card numbers or card security codes on its own website systems.
You are responsible for applicable taxes except where law requires Color Pickerly to collect, report, or pay them.
If a payment fails, access to paid features may be limited after any notice or recovery period required by applicable law.
Cancellation
You may cancel a Pro or Team subscription before its next renewal.
Cancellation stops future renewal charges. Paid features remain available until the end of the current paid billing period unless applicable law requires a different result.
After the paid period ends, the account returns to the Free plan limits unless the account is closed.
Cancellation instructions must be reasonably accessible through the account or Contact page.
Keep a record of a submitted cancellation request.
Cancellation does not automatically create a refund for a completed billing period.
Plan Changes
A paid upgrade may take effect after the required payment is completed.
Any prorated charge must be shown by the checkout provider before confirmation.
A downgrade takes effect at the end of the current billing period unless checkout states otherwise.
When a downgrade takes effect, the account becomes subject to the new plan’s feature and storage limits.
If saved content exceeds the lower plan limit, existing content may remain viewable, but additional items may not be saved until usage returns within the applicable limit.
Team Workspaces
The Team plan includes access for up to five members.
The workspace owner is responsible for plan billing, membership, and authorized access.
Workspace owners or administrators may invite and remove members, organize shared content, and manage available access controls.
Removing a member ends that member’s access to the shared workspace. Shared workspace content remains associated with the workspace.
Members must use shared colors, palettes, notes, and project groups only for authorized purposes.
Additional seats are not included in the current Team plan.
Organizations are responsible for managing their members and determining what content may be placed in a shared workspace.
Third-Party Services
Color Pickerly may depend on third-party services for hosting, authentication, payments, analytics, form delivery, security, browser distribution, and related operations.
Third-party services operate according to their own terms and privacy policies.
Color Pickerly is not responsible for an independent third party’s website, service, content, availability, or conduct, except where applicable law provides otherwise.
Links to third-party services do not automatically indicate endorsement.
Changes To The Service
Color Pickerly may add, update, replace, restrict, or remove features as the product develops.
Changes may be needed for security, legal compliance, browser requirements, technical maintenance, abuse prevention, or product development.
When a change materially affects a paid subscription, Color Pickerly should provide any notice, remedy, or choice required by applicable law.
Feature descriptions on the current Pricing page and official extension listing should be treated as the current product reference.
Service Availability
Color Pickerly aims to maintain reliable access but does not promise uninterrupted or error-free operation.
Access may be interrupted by maintenance, security events, browser changes, provider outages, internet failures, legal requirements, or events outside Color Pickerly’s reasonable control.
Color Pickerly may use maintenance periods and temporary restrictions to protect the service or complete technical work.
Users are responsible for keeping appropriate copies of exported or important color data.
Suspension And Termination
Color Pickerly may restrict or suspend access when reasonably necessary to investigate security risks, prevent abuse, address unpaid charges, comply with law, or respond to a material violation of these Terms.
When practical and legally permitted, Color Pickerly should provide notice and a reasonable opportunity to address the issue.
Serious abuse, fraud, security threats, or unlawful activity may require immediate action.
You may stop using Color Pickerly at any time. Account deletion requests can be submitted through the Contact page.
Sections that logically continue after termination, including payment obligations, intellectual property, warranty limitations, liability terms, and dispute provisions, remain effective.
Warranty Disclaimer
Color Pickerly is provided on an “as available” basis.
To the extent permitted by applicable law, Color Pickerly does not promise that the service will always be available, uninterrupted, error-free, or compatible with every browser, device, website, display, printer, or design application.
Color values may appear differently because of display calibration, browser rendering, color profiles, operating systems, printing processes, and physical materials.
Users remain responsible for reviewing color values and outputs before using them in production, print, branding, accessibility, safety, or regulated work.
This section does not exclude warranties or consumer protections that cannot legally be excluded.
Limitation Of Liability
To the extent permitted by applicable law, Color Pickerly is not responsible for indirect, incidental, special, consequential, or punitive loss arising from the use or inability to use the service.
This may include loss of profits, business opportunity, data, goodwill, or anticipated savings.
Color Pickerly is not responsible for loss caused solely by an external browser, browser store, payment provider, hosting provider, network, website, or other independent third-party service.
Nothing in these Terms excludes or limits liability for fraud, deliberate misconduct, death or personal injury caused by negligence, or another liability that cannot legally be excluded.
Any financial limitation of liability must be reviewed against the operator’s legal jurisdiction before publication. Do not insert an arbitrary liability cap.
Business User Responsibility
If you use Color Pickerly on behalf of a business or organization, you are responsible for ensuring that your authorized users follow these Terms.
To the extent permitted by applicable law, a business user is responsible for claims caused by its unlawful use of the service, violation of another person’s rights, or unauthorized content submitted through its workspace.
This section does not apply where prohibited by consumer law.
Consumer Rights
These rights may include clear pre-purchase information, cancellation rights, withdrawal rights, remedies for digital services that do not conform to the agreement, and protection against unfair contract terms.
These Terms do not remove rights that cannot legally be waived.
If a provision conflicts with mandatory consumer law, the mandatory law applies to the extent of the conflict.
Disputes And Applicable Law
Before starting formal proceedings, users are encouraged to contact Color Pickerly and provide enough information to review the issue.
The parties should make a reasonable attempt to resolve the matter through direct communication.
These Terms are governed by the law applicable to the service operator, subject to mandatory consumer protections that apply in the user’s place of residence.
A consumer may retain the right to bring a claim in a court or forum available under applicable consumer law.
Nothing in these Terms requires a user to waive a legally protected right to contact a regulator, consumer authority, data protection authority, or court.
General Terms
Entire Agreement
These Terms, the Privacy Policy, the Refund Policy, the Pricing page, and any product-specific terms form the agreement governing the relevant Color Pickerly services.
Severability
If a provision is found unenforceable, the remaining provisions continue to apply. The affected provision should be interpreted or limited only as much as needed to make it enforceable.
No Waiver
A delay in enforcing a provision does not automatically waive the right to enforce it later.
Assignment
Users may not transfer their account or agreement without permission. Color Pickerly may transfer the agreement as part of a legitimate reorganization, financing, merger, acquisition, or sale of the service, subject to applicable law.
Headings
Section headings are provided for readability and do not change the meaning of the Terms.
Language
If translated versions are provided, the version identified as controlling by Color Pickerly applies, subject to applicable law.
Electronic Communications
You agree that account, billing, security, and legal notices may be provided electronically when permitted by law.
Changes To These Terms
Color Pickerly may update these Terms when the product, pricing, law, browser requirements, or business operations change.
The updated page must show a revised last-updated date.
When required, Color Pickerly should provide advance notice of a material change.
If a material change requires consent, it should not apply until the required consent is obtained.
The previous Terms continue to govern activity that occurred before the effective date of an updated version, except where applicable law provides otherwise.
